1. Scope of application
These GTC apply to all contracts, deliveries and services between Alfred PRACHT Lichttechnik GmbH and its business customers. Deviating terms and conditions of the customer shall only apply if they have been confirmed in writing.
2. Conclusion of contract
A contract is concluded by written confirmation or delivery. Technical documents remain the property of and are subject to the copyright of PRACHT.
3. Prices and terms of payment
All prices are net ex works plus statutory VAT. Payments shall be made without deduction. Offsetting is only permitted with undisputed or legally established claims.
4. Retention of title
The delivered goods remain the property of PRACHT until full payment has been made. Resale is only permitted under certain conditions.
5. Terms of delivery and shipping costs

- Pallet exchange: Euro pallets that are not exchanged will be charged at €15.
- Collection: Possible free of charge at the location.
6. Transfer of risk
The risk is transferred to the customer upon dispatch or collection, even in the case of carriage paid delivery.
7. Warranty
- Warranty for material, design or production defects.
- Limitation period: 12 months from the statutory commencement date.
- No claims in the event of improper use, natural wear and tear or third-party intervention.

8. Warranty
- 5 years on PRACHT PRO LINE luminaires, 3 years on other products.
- No assumption of costs for installation, transportation or consequential damage.

9. Liability
- Liability is excluded in cases of slight negligence, except in cases of injury to life, limb or health.
- No liability for loss of profit or consequential damage.
10. Place of jurisdiction and law
The place of jurisdiction is Marburg/Lahn. German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
11. Severability clause
Should individual provisions be invalid, the remainder of the contract shall remain valid.
